By accessing or using VidhyaPro's website, web application, mobile application, or any related services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are registering on behalf of a coaching institute or organisation, you represent that you have the authority to bind that organisation to these Terms. In such a case, "you" refers to both you personally and the organisation.

If you do not agree to these Terms, please do not use the Platform. You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an administrator account.

VidhyaPro is a cloud-based coaching institute management platform that provides tools for managing students, teachers, batches, attendance, fees, examinations, activities, and more. Our services include but are not limited to:

• Student enrolment and profile management
• Teacher and staff management
• Batch and class scheduling
• Attendance tracking and reporting
• Fee collection, invoicing, and payment reminders
• Examination management and result publishing
• Activity and notice board management
• Video call and live session integration
• Multi-branch management
• Role-based access control for staff

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice to active subscribers.

To access the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorised use of your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate any account that we believe has provided false information or violated these Terms.

VidhyaPro offers a 7-day free trial for new institute accounts. During this period you have access to the full feature set of the plan you select, with no credit card required to start.

• The trial begins on the date your account is created
• No automatic charges occur at the end of the trial — you must actively choose a paid plan
• If you do not upgrade before the trial expires, access to the Platform will be restricted until a subscription is activated
• Data entered during your trial is preserved for 30 days after expiry, after which it may be permanently deleted
• Each organisation is entitled to one free trial only

VidhyaPro is offered on a subscription basis with the following plans:

• Starter: ₹999/month — 1 branch, up to 100 students
• Professional: ₹2,499/month — up to 5 branches, up to 500 students
• Enterprise: ₹5,999/month — unlimited branches and students

All prices are in Indian Rupees (INR) and exclusive of applicable taxes (GST). Subscription fees are billed monthly in advance. Payments are processed securely through Razorpay.

Refund Policy:

• Subscription fees are non-refundable once a billing period has commenced
• If you upgrade mid-cycle, the difference is charged on a pro-rata basis
• If you downgrade, the change takes effect at the start of the next billing cycle
• In the event of a service outage exceeding 24 continuous hours due to our fault, a proportional credit may be applied to your next invoice at our discretion

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the Platform to transmit any unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable content
• Upload or distribute malicious code, viruses, or any software intended to damage or interfere with the Platform
• Attempt to gain unauthorised access to any part of the Platform or its underlying systems
• Scrape, crawl, or harvest data from the Platform without prior written consent
• Use the Platform to impersonate any person or entity
• Violate any applicable local, national, or international law or regulation
• Resell, sublicense, or commercially exploit the Platform without explicit written permission
• Enter false, inaccurate, or misleading data about students, fees, or other records

Violation of this policy may result in immediate account suspension without refund and, where appropriate, referral to law enforcement authorities.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

As the institute administrator, you act as the data controller for the personal data of your students, teachers, and staff entered into the Platform. You are responsible for:

• Obtaining appropriate consent from students and staff before entering their data
• Ensuring the data you enter is accurate and kept up to date
• Complying with applicable data protection laws, including India's Digital Personal Data Protection Act, 2023
• Informing your students and staff about how their data is stored and used

VidhyaPro acts as a data processor on your behalf. We implement appropriate technical and organisational security measures to protect data stored on our Platform. We will never sell your data or your students' data to third parties.

The VidhyaPro Platform, including its software, design, logos, trademarks, and all associated content, is the exclusive intellectual property of VidhyaPro and is protected by applicable copyright, trademark, and other laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for managing your coaching institute in accordance with these Terms.

Your Content: You retain full ownership of all data, text, files, and information you upload to the Platform ("Your Content"). By uploading content, you grant us a limited licence to host, store, and process Your Content solely for the purpose of providing the Platform to you.

You may not copy, modify, reverse-engineer, decompile, disassemble, or create derivative works of any part of the Platform without our prior written consent.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, VidhyaPro expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall VidhyaPro be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from unauthorised access to or alteration of your data
• Any matter beyond our reasonable control (force majeure)

Our total aggregate liability for any claim arising out of or related to these Terms shall not exceed the amount you paid to VidhyaPro in the three (3) months immediately preceding the event giving rise to the claim.

By You: You may cancel your subscription at any time from your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period. No refund is issued for the remaining period.

By Us: We may suspend or terminate your account immediately and without prior notice if:

• You materially breach these Terms and fail to remedy the breach within 7 days of notice
• You engage in fraudulent, illegal, or abusive activity
• Payment remains outstanding for more than 14 days after the due date
• We are required to do so by law or a regulatory authority

Upon termination, your right to access the Platform ceases immediately. Your data will be available for export for 30 days before permanent deletion.

We may update these Terms from time to time to reflect changes in our services, applicable laws, or business practices. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send an email notification to the primary account holder at least 14 days before the changes take effect
• Display a notice within the Platform dashboard

Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you should cancel your subscription before they take effect.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@vidhyapro.com. We will make good-faith efforts to resolve the matter within 30 days.

If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English.
